Scope & Liabilities

1. Scope of Services
The VoBot Developers provides a range of digital services as outlined on our platform. The specific scope of work for each project or engagement is defined through:
- Service Description: The general scope listed on each service page provides an overview of what is included.
- Project Proposal / Quotation: A detailed document outlining the agreed scope, deliverables, timelines, milestones, and pricing for your specific project.
- Change Orders: Any modifications to the original scope after project commencement are documented through written change orders agreed upon by both parties.
Work performed by VoBot is limited strictly to what is defined in the agreed scope. Any additional features, functionalities, integrations, or services not explicitly included in the scope document are considered out-of-scope and may be quoted separately.
2. Client Responsibilities
Successful project delivery requires active collaboration. As a client, you are responsible for:
- Content & Materials: Providing all necessary content, text, images, logos, branding guidelines, and other materials required for the project in a timely manner and in usable formats.
- Requirements Clarity: Clearly communicating your requirements, expectations, and business objectives at the outset and during the project.
- Timely Feedback: Providing feedback and approvals within the agreed timeframes. Delays in client feedback will proportionally extend project timelines.
- Access & Credentials: Providing necessary access to hosting environments, third-party services, APIs, databases, or any other systems required for the project.
- Legal Compliance: Ensuring that the content and materials you provide do not infringe on any third-party intellectual property rights, trademarks, or copyrights.
- Testing & Acceptance: Reviewing deliverables within the specified review period and conducting appropriate testing before final acceptance.
- Backup & Security: Maintaining your own backups of critical data and credentials provided to VoBot. While we take reasonable security measures, you should not rely solely on us for data backup.
3. Third-Party Integrations Disclaimer
Many of our services involve integration with third-party platforms, services, APIs, and tools. Regarding these integrations:
- VoBot is not responsible for the availability, performance, security, or changes in functionality of any third-party services integrated into your project.
- Third-party services include but are not limited to: hosting providers (AWS, Google Cloud, Firebase, Vercel), payment gateways (Cashfree, Razorpay), email services, analytics platforms, CMS platforms, social media APIs, and any open-source libraries or frameworks used.
- Changes to third-party APIs, terms of service, or discontinuation of services may affect the functionality of delivered projects. Resolving such issues may require additional work and is not covered under the original project scope.
- Any costs associated with third-party services (hosting fees, API usage charges, license fees, subscription costs) are the responsibility of the client unless explicitly included in the project scope.
- VoBot will make reasonable efforts to use stable, well-maintained third-party services but does not guarantee their long-term availability or backward compatibility.
4. Limitation of Liability
To the fullest extent permitted by Indian law:
- Liability Cap: VoBot's total aggregate liability arising from or related to any service engagement shall not exceed the total fees actually paid by the client for the specific service giving rise to the claim.
- Exclusion of Consequential Damages: Under no circumstances shall VoBot be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including but not limited to:
- Loss of profits, revenue, or business opportunities
- Loss of data or data breaches caused by factors outside our control
- Loss of goodwill or reputation
- Cost of procurement of substitute services
- Business interruption or downtime
- Time Limitation: Any claim must be brought within 12 months of the event giving rise to the claim.
5. Force Majeure
Neither party shall be liable for any failure or delay in performance due to circumstances beyond its reasonable control, including but not limited to:
- Natural disasters (earthquakes, floods, cyclones, pandemics)
- Acts of government or regulatory bodies (sanctions, restrictions, policy changes)
- War, terrorism, civil unrest, or strikes
- Internet or telecommunications failures, power outages
- Cyberattacks, DDoS attacks, or major security incidents affecting infrastructure
- Failure of third-party services critical to project delivery
In the event of a force majeure, the affected party shall notify the other party promptly and make reasonable efforts to mitigate the impact. If the force majeure event continues for more than 60 days, either party may terminate the engagement with a prorated settlement.
6. Warranty Disclaimers
The VoBot Developers provides services with professional care and skill. However:
- No Guarantee of Results: We do not guarantee specific business outcomes, search engine rankings, traffic levels, conversion rates, or revenue from our deliverables.
- "As-Is" Post Warranty: After the warranty period (typically 30 days post-delivery for bug fixes), deliverables are provided "as-is" without further warranty.
- No Warranty for Modifications: If you or a third party modifies, alters, or extends the delivered work without our involvement, any warranties are voided.
- Technology Limitations: We do not warrant that deliverables will be compatible with all browsers, devices, or operating systems, though we design for modern, widely-used platforms.
- Security: While we follow industry best practices for security, no system is 100% secure. We do not warrant that deliverables will be completely free from vulnerabilities.
7. Indemnification
You agree to indemnify, defend, and hold harmless The VoBot Developers, its founders, employees, contractors, and affiliates from and against any and all claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from or related to:
- Your breach of these terms or any service agreement.
- Content, materials, or data provided by you that infringes on third-party intellectual property rights or violates applicable laws.
- Your use or misuse of the delivered services or products.
- Any claims by third parties related to your use of the deliverables.
- Your failure to maintain adequate security measures for credentials and access provided by VoBot.
8. Mutual Obligations
Both VoBot and the client agree to:
- Act in good faith throughout the engagement.
- Maintain confidentiality of proprietary information shared during the project.
- Communicate promptly regarding any issues, concerns, or changes that may affect the project.
- Comply with all applicable Indian laws and regulations in the performance of their respective obligations.
